General terms and conditions of aida ads. Version: 18-10-2026

In short

  • Your accounts are in your name and stay yours. Also when we stop.
  • You pay your media budget yourself, straight to the platform. We don't touch it.
  • Nothing changes in your budget without your approval.
  • We do our work as well as we can. We can't guarantee results, and nobody honest can.
  • We're not liable for damage, except where the law doesn't allow that. Read article 11.
  • You're in for at least three months. After that you can end it with three months' notice. No exit fee.

Below is the same, but precise.

1. What these terms apply to

1.1 aida ads is a trade name of VVDS Beheer B.V., located at Plantage Muidergracht 99 C 12, 1018 TN Amsterdam, the Netherlands, Chamber of Commerce (KvK) 94083223. In these terms that's "we" or "us".

1.2 The client is the business that gives us an assignment. In these terms that's "you".

1.3 A platform is a party on or through which we advertise or measure for you, such as Google, Meta, Microsoft, LinkedIn, Pinterest or TikTok.

1.4 These terms apply to every assignment of ours. We only work for businesses, not for consumers.

1.5 Your own purchasing or other terms don't apply, unless we agree that in writing.

1.6 Deviating from these terms is only possible in writing. An email counts as writing.

2. The assignment

2.1 We work without quotes. The assignment starts once you agree by email to what we propose, or once we start work at your request.

2.2 What we'll do, for which channels and at what rate, we agree by email. Work that falls outside that is extra work. We only do extra work if you agree to it beforehand.

2.3 The free first look at your account before an assignment is without obligation. It isn't an assignment. You can keep and use whatever we find, even if we never work together.

3. How we work

3.1 We do our work professionally and to the best of our ability. That's an obligation of effort, not an obligation of result.

3.2 What ads deliver also depends on things outside our control: platform algorithms and policies, competition, season, your offer, your prices and your website. That's why we don't guarantee revenue, leads, cost per result, return or rankings, unless we explicitly agree that in writing.

3.3 We only change your media budget with your approval.

3.4 We may use software and tools to do the work. If we want another party to do part of the work, we discuss that with you first.

4. What we need from you

4.1 You give us the access, information and material we need on time, and you make sure it's correct.

4.2 You name one person who can make decisions on your behalf.

4.3 You warrant that you're allowed to use the material you supply, such as copy, images, logos and customer lists. You also warrant that your offer, your claims and your website are accurate and lawful.

4.4 If something we need from you arrives late or not at all, agreed deadlines move. We may charge any extra work this causes as extra work, after discussing it with you.

5. Accounts and media budget

5.1 Ad, analytics, tag and feed accounts are in your name and stay yours. We work in them as a user or admin, with the access you give us.

5.2 You pay your media budget straight to the platform, with your own payment method. We don't advance or collect media budget.

5.3 You're the account holder and you accept the platform's terms yourself. If a platform rejects an ad or suspends an account, we'll help you sort it out. We're not liable for decisions made by a platform.

5.4 When the assignment ends, we remove our access to your accounts, or you do. No fee is needed to get your own accounts back, because they never left.

6. Fees and payment

6.1 We work for a fixed monthly fee or by the hour, as agreed by email. At the start we charge a one-off setup fee. We don't charge a percentage of your media budget.

6.2 All amounts exclude VAT.

6.3 We invoice the monthly fee in advance, each month. We invoice hours afterwards, each month. We invoice the setup fee at the start.

6.4 You pay within 14 days of the invoice date.

6.5 If you don't pay on time, we first send a reminder. If payment still doesn't follow, you owe the statutory commercial interest and extrajudicial collection costs, and we may suspend the work until you've paid.

6.6 We may adjust our rates once a year, as of 1 January. We'll let you know at least one month in advance. The increase is never more than the rise in the consumer price index (CPI) published by Statistics Netherlands (CBS).

7. Duration and ending

7.1 An assignment for a fixed monthly fee runs for at least three months. After that it continues for an indefinite period.

7.2 You can end it in writing, with three months' notice. The assignment never ends before the end of the minimum term.

7.3 An hourly assignment ends when the agreed work is done. Stopping earlier is possible with one month's notice.

7.4 Either of us may end the assignment immediately if the other goes bankrupt, is granted a suspension of payments, or fails to meet a serious obligation after being given a reasonable period in writing to put it right.

7.5 When it ends, we hand over what you need to carry on: documentation, working files and a handover to you or your next partner. You pay for work already done.

8. What we make, and who owns it

8.1 What we make specifically for you, such as ad copy, creatives, campaign structures and documents, you may use and adapt for your own business once it's paid for, with no end date. This gives you a right of use. The copyright stays with us.

8.2 Our own know-how, methods, templates, scripts and software stay ours. You may use them too, as far as needed for what we made for you.

8.3 Material from others, such as stock images, fonts or music, falls under that party's licence terms.

8.4 We only mention your name, your results or your work in our portfolio or on our site if you agree to it in writing beforehand.

9. Confidentiality

9.1 We both keep secret what the other shares in confidence, such as figures, margins, customer data, plans and login details. That still applies after the assignment ends.

9.2 This doesn't apply to information that's already public, or that we have to share because the law or a court requires it.

10. Personal data

10.1 If we process personal data for you, such as audience lists, conversion data, leads or CRM exports, you're the controller and we're the processor.

10.2 We sign a data processing agreement for that before the processing starts.

10.3 You make sure you're allowed to use that data. That includes visitor consent for cookies and tracking on your own website. We advise you on it, but the choice and the responsibility are yours.

11. Liability

11.1 We're not liable for any damage you suffer from or in connection with the assignment, of whatever kind. That covers direct and indirect damage, such as lost profit, missed revenue, spent media budget, lost data and reputational damage.

11.2 Nor are we liable for damage caused by decisions, outages or changes at a platform, or by software, tools and parties we use for the work.

11.3 If a court rules that we are liable after all, our liability is limited to the amount our professional liability insurance pays out in that case.

11.4 This exclusion and limit don't apply if the damage is caused by our intent or deliberate recklessness.

11.5 Report damage as soon as possible, and no later than three months after you knew about it. After that, your right to compensation lapses.

12. Force majeure

12.1 If we can't do our work because of something outside our control, that's force majeure. Think of outages or policy changes at a platform, an internet outage or illness. Deadlines move accordingly.

12.2 If force majeure lasts longer than 90 days, either of us may end the assignment. You pay for work already done.

13. Law, disputes and changes

13.1 Dutch law applies to every assignment.

13.2 If we can't work it out together, the Amsterdam District Court (rechtbank Amsterdam) decides.

13.3 We may change these terms. A new version applies to running assignments from 30 days after we've sent it to you. If you don't agree with the new version, you may end the assignment as of the date it takes effect.

13.4 These terms exist in Dutch and English. If they differ, the Dutch text prevails.
